บริษัท ผลิตไฟฟ้า จำกัด (มหาชน) หรือ เอ็กโก กรุ๊ปจัดการประชุมสามัญผู้ถือหุ้นประจำปี 2565 ผ่านสื่ออิเล็กทรอนิกส์(E-AGM)เมื่อวันอังคารที่19เมษายน2565เวลา14.00น.เพื่อให้ผู้ถือหุ้นรับทราบการดำเนินธุรกิจของบริษัทฯตลอดจนมีส่วนร่วมในการขับเคลื่อนและติดตามการบริหารจัดการของคณะกรรมการและฝ่ายบริหารภายใต้รูปแบบการประชุมที่สอดคล้องกับมาตรการป้องกันการแพร่ระบาดของ โควิด-19
ที่ประชุมสามัญผู้ถือหุ้นดังกล่าวได้พิจารณาและมีมติในระเบียบวาระต่างๆซึ่งสรุปประเด็นสำคัญได้ดังนี้ ผู้ถือหุ้นรับทราบการจ่ายเงินปันผลระหว่างกาลสำหรับผลการดำเนินงาน6เดือนแรกของปี2564ในอัตราหุ้นละ3.25บาทซึ่งดำเนินการจ่ายไปแล้ว และอนุมัติการจ่ายเงินปันผลจากผลการดำเนินงาน 6 เดือนหลังของปี2564ในอัตราหุ้นละ3.25บาทโดยกำหนดรายชื่อผู้ถือหุ้นที่มีสิทธิได้รับเงินปันผล(Record Date) ในวันที่ 15 มีนาคม 2565 และกำหนดจ่ายเงินปันผลในวันที่ 27เมษายน 2565 ทั้งนี้ เงินปันผลจ่ายจากผลประกอบการปี2564อยู่ในอัตราเดียวกับปีที่ผ่านมาคือ 6.50 บาท คิดเป็นจำนวนเงินทั้งสิ้น 3,422 ล้านบาท
นอกจากนี้ผู้ถือหุ้นมีมติอนุมัติการออกและเสนอขายหุ้นกู้ใหม่มูลค่ารวมไม่เกิน30,000 ล้านบาทหรือเทียบเท่าเพื่อใช้เป็นเงินทุนหมุนเวียนชำระคืนเงินกู้ยืมรวมถึงรองรับการลงทุนและขยายธุรกิจในอนาคตตาม ทิศทางการดำเนินธุรกิจอย่างยั่งยืนที่ว่า“Cleaner, Smarter and Stronger to Drive Sustainable Growth”
สำหรับการขับเคลื่อนตามทิศทางดังกล่าวเอ็กโก กรุ๊ปวางกลยุทธ์ในการสร้างการเติบโตในธุรกิจพลังงานอย่างครบวงจรด้วยการเสริมสร้างความแข็งแกร่งในธุรกิจไฟฟ้าโดยตั้งเป้าหมายจะเพิ่มกำลังผลิตใหม่ เฉพาะในปี 2565 อีกไม่น้อยกว่า 1,000 เมกะวัตต์ จากปัจจุบันที่มีกำลังผลิตตามสัญญาซื้อขายไฟฟ้า ตามสัดส่วนการถือหุ้นทั้งหมด 5,959 เมกะวัตต์ จากโรงไฟฟ้า 30 แห่ง ที่ตั้งอยู่ใน 8 ประเทศ โดยเตรียมขยาย การลงทุนในพลังงานหมุนเวียน และพลังงานทางเลือกอื่น อาทิ Hydrogen Fuel Cell ที่มีโอกาสเป็นพลังงานหลักได้ในอนาคต รวมถึงขยายการลงทุนไปสู่ธุรกิจที่เกี่ยวเนื่องอื่นๆ
นายเทพรัตน์ เทพพิทักษ์ กรรมการผู้จัดการใหญ่ เอ็กโก กรุ๊ป กล่าวว่า “เอ็กโก กรุ๊ป เน้นย้ำนโยบายรักษาอัตราการจ่ายเงินปันผลให้แก่ผู้ถือหุ้นและจ่ายเงินปันผลอย่างสม่ำเสมอควบคู่กับการแสวงหาโอกาสสร้างการเติบโตทางธุรกิจที่สอดรับกับทิศทางพลังงานโลกแผนพลังงานชาติและกระแสสังคมคาร์บอนต่ำภายใต้การดำเนินงานที่ยึดมั่นในแนวทางการพัฒนาอย่างยั่งยืนESG(Environmental, Social, and Governance) เพื่อขับเคลื่อนพันธกิจสำคัญของเราในการ “มุ่งมั่นเติบโตอย่างต่อเนื่องเพื่อสร้างมูลค่าให้แก่ผู้ถือหุ้นอย่างยั่งยืน”
EGCO GROUP shareholders approved Bt3.25 dividend per share and Bt30 billion debenture to support future investment plan
Electricity Generating Public Company Limited or EGCO Group held the Shareholders’ 2022 Annual General Meeting through Electronic Means (E-AGM) on Tuesday, 19 April 2022 at 14.00 hrs., informing shareholders about the company’s performance and encouraging the shareholders to participate in driving and monitoring the performance of EGCO Group’s Board of Directors and the Management. The meeting was held in compliance with COVID-19 preventive measures.
The shareholders in the E-AGM discussed and voted on several agenda items, including the interim dividend payment for the first six months of 2021 at Bt3.25 per share, which has already been paid. The meeting also approved dividend payment for the second-half of 2021 at Bt3.25 per share. The record date for shareholders eligible to receive the second dividend payment was set on 15 March 2022, payable on 27 April 2022. The total dividend payment from the operating performance in 2021 was Bt6.50 per share, totaling Bt3,422 million which was the same amount as in 2021.
In addition, the shareholders approved the issuance and offering of new batch of debentures with total value not exceeding Bt30,000 million or equivalent. The proceeds from the new debenture offering will be used for working capital, refinancing, and future investment and business expansion in the direction of “Cleaner, Smarter and Stronger to Drive Sustainable Growth”.
To pursue such a business direction, EGCO Group has established a comprehensive growth strategy, strengthening its power generation business with the goal of increasing new electricity generation capacity by at least 1,000 MW by 2022. At present, the Company’s equity contracted capacity is 5,959-MW, from 30 power plants in spread across eight countries. The Company has also been thriving to expand its investment in the renewable and alternative energy business such as Hydrogen Fuel Cell which could become the primary energy source of future. Additionally, EGCO Group has extended its arms into related businesses.
